Meta Platforms RSU Vesting & Tax Withholding Guide
Meta vests quarterly on the 15th of February, May, August, and November with no first-year cliff. Because Meta compensation heavily weights equity refreshers and META shares trade at high nominal prices, single quarterly vests for E5/E6 engineers frequently exceed $50,000 to $150,000+. At the default 22% federal withholding rate, each quarterly vest leaves a $6,500 to $22,000+ unpaid federal tax gap.
Vesting Schedule, Release Dates & Multi-Year Stacking
Vesting Cadence: Uniform 25% per year, vesting quarterly in February, May, August, and November (no 1-year cliff for standard new-hire grants)
Release Schedule: February 15, May 15, August 15, and November 15 each calendar year.
Meta’s annual refresher grants (awarded in March, first vesting in May) stack rapidly when performance ratings ("Exceeds" or "Redefines") apply multipliers. By Year 3 or Year 4, an E5 or E6 engineer often has four simultaneous grants vesting on the 15th of each quarter. If cumulative supplemental wages (March bonus + four quarterly vests) cross $1,000,000 in Q3 or Q4, Schwab automatically jumps federal withholding from 22% to 37% on the excess, while the first $1,000,000 remains underwithheld by up to $150,000.
Brokerage Administration & Withholding Elections (Charles Schwab Stock Plan Services)
Default Withholding Policy: Automated sell-to-cover defaults to 22% federal supplemental withholding up to $1M. Meta enables an optional W-4 / supplemental withholding rate election inside Schwab/Workday allowing employees to select up to 37% federal withholding.
How to Adjust Your Withholding Rate: Meta is one of the most flexible tech employers for supplemental tax elections, permitting employees to elect any custom federal withholding percentage between 22% and 37%. You must submit your updated rate election prior to the quarterly cutoff date (typically around the 1st of the vest month—February 1, May 1, August 1, or November 1) for it to apply to that quarter’s release.
Form W-2 Box 14 & Form 1099-B Cost Basis Reconciliation
Meta reports RSU income in W-2 Box 1 and Box 14. Note that Meta’s November 15 vest occurs late in Q4: if you rely on quarterly estimated payments rather than payroll withholding, unequal quarterly income from stock price appreciation can trigger Q1–Q3 underpayment calculations unless you file IRS Form 2210 Schedule AI (Annualized Income Installment Method) or increase Q4 payroll withholding.
